Welcome and thank you for visiting haikonatural.us (“Site”) and reviewing our Terms and Conditions (“Terms”). We’re excited to support your journey to natural beauty with our clean, conscious skincare. These Terms are important and affect your legal rights, so please read them carefully. By visiting or using our Site, our products, or the features we make available as part of our platform (the “Offerings”), you agree to be bound by these Terms and all of the terms incorporated herein by reference including our Privacy Policy. If you do not agree to these Terms, you may not access or use our Site, order, receive, or use our products.

PLEASE REVIEW THE TERMS CAREFULLY, PARTICULARLY SECTION 5.2 DETAILING THE AUTO-RENEWAL SUBSCRIPTION LANGUAGE, SECTION 21.1 RELATED TO INGREDIENT SENSITIVITIES, AND SECTION 24 RELATED TO BINDING ARBITRATION.

AVENIR GLOBAL LLC D/B/A HAIKO NATURAL (“HAIKO NATURAL,” “WE,” “OUR,” “US” OR “COMPANY”) OPERATES THIS SITE. BY CLICKING ON THE “PLACE ORDER” BUTTON, COMPLETING THE REGISTRATION PROCESS, OR ACCESSING OR USING THE SITE, YOU REPRESENT THAT:

(1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS,
(2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH THE COMPANY, AND
(3) YOU HAVE THE AUTHORITY TO ENTER INTO THE TERMS OF USE PERSONALLY OR ON BEHALF OF THE COMPANY YOU HAVE NAMED AS THE USER, AND TO BIND THAT COMPANY TO THESE TERMS.

THE TERM “YOU” REFERS TO THE INDIVIDUAL OR LEGAL ENTITY, AS APPLICABLE, IDENTIFIED AS THE USER WHEN YOU REGISTERED ON THE SITE. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT ACCESS OR USE THIS SITE OR THE OFFERINGS.

IF YOU SUBSCRIBE TO THE SERVICE (AS DEFINED IN SECTION 5 BELOW) FOR A TERM, THEN THE TERMS WILL BE AUTOMATICALLY RENEWED FOR ADDITIONAL PERIODS OF THE SAME DURATION AS THE INITIAL TERM AT HAIKO NATURAL CURRENT FEE FOR SUCH SERVICES UNLESS YOU DECLINE TO RENEW YOUR SUBSCRIPTION IN ACCORDANCE WITH SECTIONS 5.2 AND 10.3 BELOW.

PLEASE BE AWARE THAT SECTION 24 OF THIS AGREEMENT CONTAINS PROVISIONS GOVERNING HOW DISPUTES THAT YOU AND WE HAVE AGAINST EACH OTHER ARE RESOLVED, INCLUDING, WITHOUT LIMITATION, ANY DISPUTES THAT AROSE OR WERE ASSERTED PRIOR TO THE EFFECTIVE DATE OF THIS AGREEMENT.

IN PARTICULAR, IT CONTAINS AN ARBITRATION AGREEMENT WHICH WILL, WITH LIMITED EXCEPTIONS, REQUIRE DISPUTES BETWEEN US TO BE SUBMITTED TO BINDING AND FINAL ARBITRATION. UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT:
(1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING; AND
(2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND YOUR RIGHT TO HAVE A JURY TRIAL.

ANY DISPUTE, CLAIM OR REQUEST FOR RELIEF RELATING IN ANY WAY TO YOUR USE OF THE SITE WILL BE GOVERNED AND INTERPRETED BY AND UNDER THE LAWS OF THE STATE OF FLORIDA CONSISTENT WITH THE FEDERAL ARBITRATION ACT, WITHOUT GIVING EFFECT TO ANY PRINCIPLES THAT PROVIDE FOR THE APPLICATION OF THE LAW OF ANY OTHER JURISDICTION. THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS EXPRESSLY EXCLUDED FROM THIS AGREEMENT.

Please note that the Site, the good or service offered through the Site, including but not limited to the Subscription Service (as defined in Section 5.1) (“Products”), the text, audio, video, graphics, or other content featured on the Site (“Content”), the Haiko Natural gift cards or gift certificates (including, for purposes of these Terms, electronic versions of both) (“Gift Cards”), and the trial offers, sweepstakes, contests, or promotions (“Vouchers,” as defined in Section 9), are collectively referred to in these Terms as the “Offerings”. Your use of, and participation in, certain Offerings may be subject to additional terms (“Supplemental Terms”), and such Supplemental Terms will either be listed in the Terms or will be presented to you for your acceptance when you sign up to use the supplemental Offering. Supplemental Terms include Haiko Natural Privacy Policy, Gift Card Terms, Promotion Rules, and all other applicable operating rules, policies, terms, or documents published on the Site. If the Terms are inconsistent with the Supplemental Terms, these Terms shall control. The Terms and any applicable Supplemental Terms are referred to herein as the “Agreement”.

AS FURTHER EXPLAINED IN SECTION 3, PLEASE NOTE THAT THE AGREEMENT IS SUBJECT TO CHANGE BY HAIKO NATURAL IN ITS SOLE DISCRETION AT ANY TIME. When changes are made, we will update the Terms on the Site and notify users by email. We will also update the “Effective Date” at the top. If you do not agree to any changes, you must stop using the Site and Offerings. Otherwise, your continued use constitutes acceptance of those changes. PLEASE REGULARLY CHECK THE SITE TO VIEW THE THEN-CURRENT TERMS.

You should print a copy of these Terms and Conditions for future reference.

1. INFORMATION ABOUT US
Avenir Global LLC is a limited liability company registered in the State of Florida and is the exclusive distributor of the Haiko Natural brand in the United States, with offices at:
11454 NW 43 ST, CORAL SPRINGS, FL 33065.

Haiko Natural is a brand owned by Haiko Natural SAS, a Colombian company.
This website is operated through the Shopify platform.

2. SERVICE AVAILABILITY AND YOUR STATUS
The Site and Offerings are intended for use by individuals in the contiguous United States, excluding Alaska, Hawaii, Puerto Rico, and other U.S. Territories ("Serviced States"). At this time, we do not accept orders from individuals outside the Serviced States. By placing an order through our Site, you represent and warrant that you:
(1) Are legally capable of entering into this Agreement,
(2) Are at least 18 years old,
(3) Are a resident of a Serviced State, and
(4) Are accessing the Site from a Serviced State.

3. MODIFICATION
In our sole discretion, Haiko Natural shall have the right to change, amend, add to, remove, or supplement the Agreement (including the Privacy Policy), without prior notice; provided, however, that changes to the procedures applicable to the resolution of disputes shall only apply to disputes that arise after the updated provision is published on the Site. We will notify registered users by email of any material changes to these Terms.

4. REGISTRATION

4.1 Registering Your Account.
To utilize specific features on the Site, individuals will need to become a Registered User. A “Registered User” is a user who has registered an account on the Site (“Account”) or has a valid account on a social networking service (“SNS”) connected to the Site (“Third-Party Account”).

4.2 Access Through a SNS.
If you access the Site through a SNS, you may link your Account by allowing Haiko Natural to access your Third-Party Account as permitted under its terms. You agree that you have the authority to provide this access and that Haiko Natural is not liable for content shared through your SNS settings. You can disconnect these links via your account settings at any time.

4.3 Registration Data.
If you create an Account, you agree to:
(1) Provide accurate and current information, and keep it updated.
(2) Maintain your password’s security and notify us at support@haikonatural.us or +1 (954) 836-9304 within 48 hours if you suspect unauthorized use.
(3) Log out of your Account at the end of each session.

You affirm that you are at least 18 years old and not barred from using the Site under applicable law. You may not share your Account or create an account using a false identity. Haiko Natural reserves the right to terminate accounts found to be in violation of these Terms. You acknowledge that your Account remains the property of Haiko Natural.

YOU WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF THE SERVICES BY ANYONE USING YOUR ACCOUNT, WHETHER AUTHORIZED OR NOT, INCLUDING ALL COMMUNICATIONS, TRANSACTIONS, AND FINANCIAL OBLIGATIONS INCURRED THROUGH SUCH USE.

4.4 Communication
By providing your phone number, you consent to receive text messages and calls from Haiko Natural, including automated messages, for the following purposes: (i) Account notifications
(ii) Order and delivery updates
(iii) Payment or billing inquiries
(iv) Promotions and offers
(v) Cart reminders

Message frequency may vary. To opt out, reply “STOP.” For help, reply “HELP” or email support@haikonatural.us. Standard rates may apply. You are responsible for updating your number in your account. Haiko Natural may share your number with service providers only as needed for the purposes stated above. We may monitor communications for training and quality.

5. HAIKO NATURAL SERVICES

5.1 Subscription Service

Haiko Natural offers an automatic, recurring monthly subscription service for cosmetic products (“Subscription Service” or “Service”). You may choose from several subscription plans (“Plans”).

With your first subscription, you’ll receive a free basic anti-aging facial care kit—a pre-set kit made with full-size original products that are suitable for all skin types. You only pay the shipping fee of $9.99 USD.

The contents of the initial kit cannot be customized, but you may switch to another available kit at any time through your account.

The subscription renews automatically each month through PayPal, Shopify Payments, or Stripe. You will be charged automatically without needing to reauthorize, as your initial acceptance of the Terms and Conditions includes consent to recurring payments.

You can manage your subscription directly through your customer portal powered by Seal Subscriptions, including the ability to edit your plan, pause, cancel, or change the products.

5.2 Auto-Renewal Feature

THE SUBSCRIPTION SERVICE INCLUDES AN INITIAL CHARGE FOR SHIPPING ONLY, FOLLOWED BY MONTHLY RECURRING CHARGES.

BY SUBSCRIBING, YOU AGREE TO AUTOMATIC MONTHLY PAYMENTS UNTIL YOU OR WE CANCEL THE SUBSCRIPTION.

Haiko Natural may charge your PayPal or other selected payment method without further notice, until you submit a cancellation request as described in Section 10.3. Your cancellation will not affect any charges already processed or scheduled.

If your payment method is updated automatically by PayPal, Stripe, or Shopify Payments, we may use the new information to avoid service interruption.

In case of a failed payment:

• You agree to settle any outstanding balance immediately.
• Haiko Natural may suspend or cancel your subscription until payment is received.

5.3 One-Time Purchases

In addition to subscription plans, Haiko Natural offers one-time purchases of individual products. All terms in this Agreement—including pricing, delivery, returns, product use, disclaimers, and dispute resolution—apply equally to one-time orders.

By placing any order through our Site, whether via subscription or single purchase, you agree to be bound by these Terms.

6. PAYMENT AND PRICING

6.1 Pricing Adjustments
Haiko Natural reserves the right to change subscription prices at any time. You will receive at least 10 days’ notice by email before any change affects your current Plan.
All prices are in U.S. dollars (USD) and do not include taxes or shipping fees unless otherwise stated. Continued use of the Service after price adjustments constitutes acceptance of the new pricing.

6.2 Plan Add-Ons
Some subscription plans may offer upgrades, new products, or delivery customizations. These changes may affect the total monthly fee.

6.3 Payment
By placing an order, you agree to:

1. Pay all applicable charges using PayPal, Stripe, or Shopify Payments.
2. Allow Haiko Natural to use an alternate payment method if your primary method fails.
3. Authorize Haiko and its payment providers to process all subscription transactions.

If your payment is not completed and not updated, we may suspend your subscription and may pursue collection of the outstanding balance.

7. PRODUCT AVAILABILITY AND PROMOTIONAL INCLUSIONS
Because our products are naturally formulated and subject to production limitations, Haiko Natural may occasionally substitute items in your shipment without prior notice. We will make reasonable efforts to notify you when possible.

We may also include free surprise gifts from third-party brands. These items are not disclosed in advance and may contain ingredients not listed on your Haiko product page.

If you have allergies or skin sensitivities, please review all product labels carefully. You may choose not to use any promotional product at your discretion, but returns of gifts are not required or processed.

8. GIFT CARDS
Haiko Natural Gift Cards are available for purchase and may also be received as part of a promotion. Gift Cards:

• Must be redeemed through your Haiko Account.
• Apply as store credit until fully used.
• Are not redeemable for cash, except as required by law (for example, balances under $10 in California, Texas, Massachusetts, or Colorado).
• Are non-refundable and non-replaceable if lost or stolen.
• Remain valid for a minimum of 5 years from the date of issue.

To redeem a low-balance card for cash in a qualifying state, contact support@haikonatural.us.

9. VOUCHERS
Haiko Natural may offer promotional vouchers, such as free starter kits or discounts. Vouchers:

• Require account creation and a valid payment method.
• Are intended for first-time customers only.
• Are non-transferable, non-redeemable for cash, and may only be used once.

Our standard voucher grants a free full-size starter kit, with the customer paying only $9.99 for shipping.
By redeeming this offer, you agree that your subscription will automatically renew at the regular rate the following month unless canceled in advance (see Section 10.3).

Haiko Natural reserves the right to deactivate or cancel vouchers that are shared on unauthorized third-party websites or used fraudulently.
Once a voucher is redeemed with a specific email address, it cannot be used again—even if the account is later deleted.

10. DELIVERY

10.1 Delivery Timeframe
Haiko Natural processes and fulfills all subscription orders through Amazon Fulfillment Services. Orders are typically delivered within 3 to 5 business days after your monthly renewal payment has been successfully processed.

10.2 Delivery Conditions
Deliveries are made Monday through Saturday by Amazon’s partnered carriers. If you are not available at the time of delivery, your package may be left at your front door, mailbox, or other designated location, in accordance with Amazon’s standard delivery protocols.

10.3 Deactivation Procedures
You may cancel your subscription at any time by logging into your account at www.haikonatural.us or by sending an email to support@haikonatural.us with your full name and registered email address. To avoid being charged for the next billing cycle, cancellations must be submitted at least 48 hours prior to your next scheduled renewal date.

If your cancellation request is submitted after this timeframe, the cancellation will take effect the following month, and you will still be charged and receive your order for the current billing cycle.

10.4 Pausing Your Subscription
Haiko Natural uses the Seal Subscriptions app, which allows customers to pause their subscription through the customer portal. To pause, simply log into your account and follow the pause/skip option. You will not be charged for any month during which your subscription is paused. Pausing applies only to the selected cycle and automatic deliveries will resume the following month unless paused again.

10.5 Delivery Limitations
We currently ship only to the contiguous United States, excluding Alaska. In the event of severe weather, natural disasters, or an inaccessible delivery location, we will make every effort to reschedule the delivery or find an alternative solution.

11. FORCE MAJEURE

Haiko Natural shall not be held responsible for any delay or failure to perform its obligations under this Agreement if such delay or failure is due to circumstances beyond its reasonable control ("Force Majeure Event"). This includes, but is not limited to: natural disasters, acts of war or terrorism, labor strikes, transportation delays, pandemics, or governmental restrictions. Performance shall be suspended for the duration of such event, and we will make reasonable efforts to resume service as soon as possible.

12. RECEIPT OF PRODUCTS

Once your order is delivered by Amazon or its carriers, you are responsible for inspecting the condition of your products. Although Haiko Natural skincare products are not perishable, we advise storing them in a cool, dry place and out of direct sunlight to preserve product integrity.

The risk of loss or damage passes to you at the time of delivery. If you receive damaged goods, please contact support@haikonatural.us within five (5) days of receipt with photographic evidence of the issue.

13. PRODUCT USAGE AND RECOMMENDATIONS

Each Haiko Natural product includes instructions for proper use. Please follow these guidelines carefully to ensure best results. If you experience any irritation or adverse effects, discontinue use immediately and consult a healthcare professional.

14. RETURN AND REFUND POLICY

If you are unsatisfied with your purchase, you may return your order within thirty (30) days of receiving the product, provided that:

• The product is unused, in its original sealed packaging, and in resellable condition.
• Returns must be authorized in advance by contacting support@haikonatural.us.

Once the returned item is received and inspected, a full refund will be issued to your original payment method via PayPal. Haiko Natural reserves the right to deny returns that do not meet these conditions.

15. PROPRIETARY RIGHTS

All content on the Site and App, including but not limited to text, graphics, images, logos, button icons, and software, is the property of Haiko Natural SAS or is licensed to Avenir Global LLC, and is protected by United States and international intellectual property laws.

Subject to this Agreement, Haiko Natural grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not copy, modify, distribute, or exploit any content without prior written consent.

15.1 Trademarks
“Haiko Natural” and related marks are registered trademarks or trade dress of Haiko Natural SAS. You may not use these marks without prior written permission. All other trademarks appearing on the Site are the property of their respective owners.

15.2 Other Content
Except for content you upload as a user, you have no ownership rights over the content presented through the Site or App.

15.3 Copyright Infringement Claims
If you believe any content on our Site infringes your copyright, please contact us at support@haikonatural.us with:

• A physical or electronic signature of the copyright owner
• Description of the copyrighted work
• Location of the allegedly infringing material
• Your contact information
• A good faith statement that use is not authorized
• A statement under penalty of perjury that the above is true and you are authorized to act

16. COMMUNITY STANDARDS AND USER CONDUCT

By accessing the Site or using Haiko Natural  services, you agree to conduct yourself lawfully and respectfully. You agree not to:

• Violate any local, state, or federal law
• Impersonate Haiko Natural staff or another customer
• Harass, abuse, or threaten others
• Introduce malware or engage in any activity that disrupts the Site
• Attempt to gain unauthorized access to our servers or systems

Haiko Natural reserves the right to restrict or terminate your access to the Site or Services for any violation of these standards.

17. NON-USER THIRD PARTY CONTENT

Haiko Natural does not currently display, promote, or endorse third-party content within its website, emails, or any of its product packaging. All digital and printed materials are focused exclusively on Haiko Natural-branded content.

If in the future any third-party content were to be included (such as collaborations or mentions), Haiko Natural will not be responsible for the accuracy, completeness, or reliability of such content. Any interactions between you and third-party services mentioned in our communications will be strictly between you and those third parties, and accessed at your own risk.

18. USER CONDUCT

By using our Site or Services, you agree to act lawfully and respectfully. You may not:

• Violate any applicable law, regulation, or third-party rights
• Access or use another user’s account without permission
• Harass, stalk, or abuse others
• Post or distribute content that is false, defamatory, offensive, threatening, or illegal
• Pretend to represent Haiko Natural without written authorization
• Use bots, scripts, or automated systems to extract data or disrupt the site
• Reverse engineer, hack, or access restricted areas of the Site or App
• Engage in any activity that disrupts or negatively impacts the experience of other users

Any violation of this clause may result in the suspension or termination of your account and access to our services.

19. USER CONTENT

19.1 General Use and Responsibility
Haiko Natural may offer features where you can post or submit content including reviews, photos, videos, or testimonials (“User Content”) via our Site, App, email, or social media. By submitting content, you acknowledge that:

• You are fully responsible for the content you post
• All User Content must comply with this Agreement and applicable laws
• You grant Haiko Natural the right to use your content for promotional purposes
• The content must not infringe on any third-party rights, contain offensive or inappropriate material, or violate privacy or publicity laws

Any content submitted may be removed at our discretion if deemed harmful, inappropriate, or in violation of these Terms.

19.2 Social Media Use
By tagging @haikonatural or using the hashtag #HaikoLovers, you authorize Haiko Natural to reuse your content across marketing materials, including but not limited to:

• Our website
• Email campaigns
• Advertisements
• Social media posts

You also authorize the use of your name or social media handle in association with the content. You represent that such use does not violate the rights of any third party.

19.3 License to Use Content
You grant Haiko Natural and its affiliates a non-exclusive, royalty-free, transferable, perpetual, irrevocable, worldwide license to use, modify, distribute, display, and reproduce your content, including your name, image, voice, or handle, for marketing or operational purposes, without compensation.

This license remains in effect even if you close your account or stop using our services.

19.4 Waiver of Rights
To the extent permitted by law, you waive any moral rights related to the content you submit or tag, including rights of attribution or objection to modification.

19.5 Feedback
Any suggestions, ideas, or feedback you provide to Haiko Natural will be considered non-confidential, and we may use them freely without acknowledgment or compensation.

19.6 Legal Compliance
We may preserve or disclose your User Content if required by law or if we believe such action is necessary to:
(a) comply with legal obligations,
(b) enforce this Agreement,
(c) respond to legal claims,
(d) protect the safety and rights of Haiko Natural or its users.

20. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Haiko Natural, Avenir Global LLC, and their affiliates, employees, and service providers from any claims, damages, costs, or expenses (including attorneys' fees) arising from:

• Your use or misuse of the Site, Products, or Services
• Your violation of these Terms
• Any User Content you submit or share
• Your interaction with any third-party service or platform linked to Haiko Natural

We reserve the right to assume exclusive legal defense and you agree to cooperate fully as required.

21. DISCLAIMERS

YOU AGREE THAT YOUR USE OF THE SITE, PRODUCTS, AND SERVICES IS AT YOUR SOLE RISK. ALL PRODUCTS AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAIKO NATURAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

21.1 Allergen & Skin Sensitivity Notice

Some Haiko Natural products contain ingredients that may cause skin irritation or allergic reactions in certain individuals, including (but not limited to): essential oils, fragrances, botanical extracts, or natural preservatives. All products comply with applicable FDA cosmetic labeling requirements, and a full list of ingredients is available on each product’s label and on our website.

You are solely responsible for reviewing ingredient lists and understanding your own skin sensitivities before use. If irritation occurs, discontinue use and consult a healthcare professional.

Haiko Natural makes no claims or guarantees regarding the suitability of any product for specific skin conditions or allergies.

21.2 Visual & Pricing Accuracy

We strive to present accurate product information, pricing, and visuals. However:

• Product color, texture, or packaging may vary slightly depending on screen settings, production batches, or availability
• We reserve the right to correct errors in pricing or descriptions and to cancel orders in such cases

Mention of a product on the Site does not guarantee availability at all times.

Haiko Natural may update product formulations, packaging, or pricing at any time without prior notice.

22. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAIKO NATURAL, ITS AFFILIATES (INCLUDING, BUT NOT LIMITED TO, THEIR LICENSORS, SERVICE PROVIDERS, DIRECTORS, OFFICERS, AGENTS, PARTNERS, REPRESENTATIVES, AND EMPLOYEES) SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY/PUNITIVE DAMAGES.
This includes, but is not limited to, damages related to personal injury, emotional distress, loss of profits, data, goodwill, business interruption, or any other intangible losses, whether arising in contract, tort (including negligence), strict liability or otherwise, even if foreseeable.

Additionally, in no event shall Haiko Natural  total liability to you exceed the amount paid by you to Haiko Natural during the thirty (30) days prior to the event giving rise to such claim.

This limitation shall not apply to liability that cannot be excluded or limited under applicable law, such as personal injury or property damage directly caused by our gross negligence or willful misconduct.

23. MODIFICATIONS TO THE SITE AND PRODUCTS

Haiko Natural also reserves the right to update or alter the formulation, packaging, or availability of its products due to changes in ingredient sourcing, compliance, or improvements.

24. DISPUTE RESOLUTION & BINDING ARBITRATION

24.1 Applicability of Arbitration Agreement

You agree that any dispute, claim, or request for relief arising out of or relating to your use of the Site, the Products, or your relationship with Haiko Natural shall be resolved by binding arbitration, on an individual basis, and not in court, except for:

If your claim involves an amount under $10,000, and you cannot afford the associated arbitration fees, Haiko Natural will cover all reasonable costs—unless the arbitrator determines that your claim is frivolous.

To make the process easier for you, any dispute under $10,000 may be handled:

• Or in person, depending on what is most convenient and mutually agreed upon.

This approach helps ensure that our customers can resolve any concern with minimal hassle and full respect for their time and resources.

24.3 Authority of Arbitrator

The arbitrator will have exclusive authority to resolve any dispute regarding the interpretation, enforceability, or scope of this Arbitration Agreement. They may grant all remedies available under applicable law and issue a binding, written decision.

24.4 Waiver of Jury Trial

YOU AND HAIKO NATURAL HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHT TO A TRIAL BY JURY OR JUDGE.
You agree to resolve disputes through arbitration as detailed above.

24.5 Waiver of Class or Collective Actions

ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS.
You agree not to participate in any class, collective, or representative proceeding. If a court determines this clause to be unenforceable for any claim, that specific claim must proceed in court in Broward County, Florida, and the rest will remain in arbitration.

24.6 30-Day Right to Opt Out

You may opt out of this Arbitration Agreement within 30 days of first becoming subject to it by emailing us at:

Include your full name, email address, and a clear statement that you wish to opt out. Opting out will not affect your access to our services.

24.7 Severability

If any provision of this Arbitration Agreement is found unenforceable, it will be severed, and the remainder will remain valid and enforceable.

This Arbitration Agreement will survive the termination of your account or your use of the Services.

24.9 Modification

If we update this Arbitration Agreement in the future, you have 30 days to reject the change by notifying us in writing at support@haikonatural.us. Otherwise, the updated terms will apply.

25. GOVERNING LAW AND VENUE

THIS AGREEMENT AND ANY DISPUTES RELATED THERETO SHALL BE GOVERNED BY THE LAWS OF THE STATE OF FLORIDA, without giving effect to any choice or conflict of law provision or rule.
Any legal action that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Broward County, Florida.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.

26. TERM, TERMINATION AND SURVIVAL

26.1 Term

This Agreement is effective from the date you first access the Site or Services and continues until terminated by you or Haiko Natural.

26.2 Prior Use

You acknowledge that your use of the Site or Services prior to the date you accepted these Terms is also governed by this Agreement.

26.3 Termination

We may, at our sole discretion, suspend or terminate your account or access to the Services at any time, with or without notice, including if:

• You violate these Terms
• Payment fails repeatedly
• It is required by law
• You act in a way that harms the brand or other users

If your subscription is terminated, no refunds will be issued except where required by law or as otherwise stated in these Terms.

26.4 Effect of Termination

Termination includes:

• Removal of access to your account and Services
• Deletion of any user content stored in our systems
• Cancellation of future deliveries

All provisions of this Agreement that should survive termination (e.g., ownership, limitation of liability, arbitration) shall remain in full force and effect.

26.5 No Subsequent Registration

If your account is terminated for cause, you agree not to re-register or access the Services under a different identity.
Haiko Natural reserves the right to block or terminate any future attempts to register or access our Services.

27. SEVERABILITY AND WAIVER

If any part of this Agreement is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed and the remainder of the Agreement shall remain in full force and effect to the maximum extent permitted by law.

No waiver by Haiko Natural of any provision or right under this Agreement shall be considered a waiver of any other provision or right, whether similar or not. A failure to assert any right or provision shall not constitute a waiver.

28. MISCELLANEOUS

This Agreement, together with our Privacy Policy and any other legal notices published by Haiko Natural, constitutes the entire agreement between you and us regarding the Services.

You may not assign or transfer any of your rights under this Agreement without our prior written consent. Haiko Natural may assign or transfer its rights at any time without restriction.

Nothing in this Agreement is intended to confer any third-party beneficiary rights.

31. EXPORT CONTROL

You may not use, export, import, or transfer our products or services except as authorized by U.S. law and the laws of the jurisdiction in which you reside.

You represent and warrant that you:

• Are not listed on any U.S. government list of restricted or prohibited parties

33. SWEEPSTAKES

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN A SWEEPSTAKES. A purchase will not improve your odds of winning.

Sweepstakes may be open only to legal residents of the 50 United States and the District of Columbia, age 18 or older, and are void where prohibited.
By participating, you agree to the official rules of the sweepstakes and accept that any disputes will be resolved exclusively through binding individual arbitration, and not via class action.
